Intel’s Crossroads: Will Splitting the Company Ensure Survival?

Intel’s Crossroads: A Call to Revamp

A Warning from the Past

Just over a month ago, four former Intel board members sounded the alarm, urging the company to undergo a drastic transformation to remain competitive. In a public letter, they stressed that Intel was running out of time to turn its business around and proposed a bold solution: splitting the company into two separate entities.

A Two-Pronged Approach

The former directors, David B. Yoffie, Reed Hundt, Charlene Barshefsky, and James Plummer, advocated for Intel to divide its design and manufacturing businesses into two distinct companies. This, they believed, was the only way to “stem the bleeding” and ensure the continued production of advanced chips in the United States.

A CEO’s Dilemma

Intel’s CEO, Pat Gelsinger, a renowned technologist, faced a difficult decision: whether to break up the iconic company he had worked so hard to revive. Gelsinger had announced plans to establish Intel Foundry as an independent subsidiary, but the former directors deemed this insufficient. They called for a more radical overhaul, separating design and manufacturing into two entirely separate companies.

A Legacy at Stake

Gelsinger had returned to Intel as CEO in 2021, determined to restore the company’s lead in manufacturing. However, he inherited a multitude of challenges, including manufacturing problems that had allowed Taiwan’s TSMC to surpass Intel in producing advanced chips. Furthermore, the rising demand for AI-optimized chips from Nvidia had eroded Intel’s sales.

Government Involvement

The U.S. government has committed nearly $8 billion in grants to Intel through the CHIPS Act. The former directors argued that this financial assistance should be contingent upon Intel’s willingness to split into two companies. They emphasized that the government had the leverage to steer Intel towards a better path and must use it now.

A Sudden Exit

Pat Gelsinger’s surprise retirement has left many questions unanswered. The open letter from the former Intel directors provides a valuable insight into the challenges he faced during his final weeks at the company. As the full details surrounding his exit remain unclear, one thing is certain: Intel stands at a crossroads, and its future hangs in the balance.
