This subsidiary would merge with the real estate developer, giving shareholders the option to receive a majority of their merger consideration in cash at $85 per share – a 38.3% premium to the unaffected stock price and an 18.4% premium to the closing price last Friday.

A History of Investment

Pershing Square first invested in Howard Hughes Holdings in 2010 with a $250 million rights offering at $47.62 per share. Over the past 14 years, the investment has generated a 35% total return, equivalent to a 2.2% compound annual return. However, the company has not paid any dividends since its inception.

Ackman emphasized that the proposed deal would not result in any changes to Howard Hughes Holdings’ organization, employees, or long-term strategy. The current leadership team, led by CEO David O’Reilly, would remain in place, and all employees would retain their jobs.
