In a move that could reshape the customer care and billing solutions landscape, Japanese technology conglomerate NEC Corp is exploring a potential takeover of CSG Systems, a leading provider of software and business services to telecommunication providers globally.

A Strategic Fit

NEC, founded in 1899, has been diversifying its portfolio beyond its traditional stronghold in semiconductors, focusing on areas such as IT services, cloud computing, artificial intelligence, and the internet of things. Acquiring CSG Systems would provide NEC with a significant foothold in the customer care and billing solutions market, complementing its existing offerings.

CSG Systems: A Prime Target

Englewood, Colorado-based CSG Systems has been struggling to maintain its market share as large telecommunications customers seek to cut costs and prioritize investments in 5G infrastructure. Despite this, the company has reported a 3% growth in revenue to $295.1 million, driven primarily by its customer experience and payments units. CSG’s impressive client roster includes Comcast, Charter Communications, Dish TV, and MTN Group.

The Deal in Progress

According to sources familiar with the matter, NEC has been working with investment bankers at Morgan Stanley to explore a potential offer for CSG Systems. While the deliberations are still in their early stages, a deal is far from certain, and other suitors may yet emerge. CSG Systems’ market value stands at approximately $1.7 billion, and its shares surged over 14% on news of the potential takeover.

Leadership Changes at CSG Systems

In a separate development, CSG Systems announced that its current chairman, Ron Cooper, will step down from his role at the end of his term in May, to be succeeded by Marwan Fawaz, a seasoned technology industry executive. The company is scheduled to report its fourth-quarter results on February 5.
