Bain Capital Raises the Stakes with A$2.87 Billion Offer
In a dramatic turn of events, shares of Insignia Financial, Australia’s 178-year-old wealth manager, surged to a three-year high on Monday as private equity firm Bain Capital upped the ante in a heated bidding war. The revised offer of A$2.87 billion ($1.76 billion) matches rival CC Capital’s bid, sending Insignia’s shares soaring 3.2% to A$4.250, their highest level since October 2021.
Insignia Shareholders Set to Benefit from Revised Offer
Under the new proposal, Insignia shareholders will receive A$4.30 per share, a 7.5% premium to Bain Capital’s earlier offer and a 4.4% premium to Insignia’s last closing price of A$4.120. Additionally, Bain Capital is offering shareholders the option to receive part of the total purchase price as scrip in the new entity.
Market Analysts Weigh in on the Bidding War
Grady Wulff, market analyst at Bell Direct, believes the bidding war is far from over, stating, “I see this as just the beginning… CC Capital will likely respond to Bain’s increased bid in the near future. It’s going to be a very tight race.” CC Capital has yet to comment on the revised offer.

The bidding war marks the first major M&A activity of 2025, following a record-breaking year for Australian dealmakers in 2024. According to LSEG data, M&A activity reached $113.4 billion in 2024, a 15% increase from 2023 levels.
